4. Eligibility
You may use the Service only if you have the legal capacity to form a binding contract and are not barred from using the Service under applicable law. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian who agrees to these Terms.

6. User Content & License to Us
User Content means any content you upload, post, store, stream, or otherwise submit to or through the Service (including audio files, stems, lyrics, cover art, text, images, and metadata).
You represent and warrant that you own, or have obtained, all rights necessary to submit the User Content and to grant the licenses below, and that your User Content does not infringe any third-party rights or violate any law.
You grant melodyX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transcode, display, and distribute your User Content within the Service for the limited purpose of operating, providing, maintaining, and improving the Service, including to create previews and technical copies (e.g., cache, backups, thumbnails, waveform renders). We do not claim ownership of your User Content.
You may remove your User Content at any time, which will end the above license after a reasonable de-indexing period; however, server or backup copies may persist for a limited time for security and continuity purposes.
7. Music Content, Ownership, and Marketplace Disclaimer (IMPORTANT)

Your Responsibility. The quality of any songs or audio uploaded, the accuracy of metadata, the existence and scope of ownership and licensing rights, and any marketing or sale of songs or related assets are entirely your responsibility and not melodyX’s.

No Legal/Ownership Verification. We are not a law firm or rights society and do not verify ownership, originality, or chain of title for User Content. You must clear all necessary rights (including composer, lyricist, performers’ rights, samples, artwork, sound recordings, publishing, neighboring rights, and moral rights where applicable) before uploading or offering content.

No Participation in Sales. Unless we explicitly state otherwise in a separate written agreement, melodyX is not a party to any transaction between users (e.g., commissions, co-writes, sales, licenses, splits, or services). We do not guarantee any sales, placements, syncs, royalties, or revenue.

Taxes and Compliance. You are solely responsible for taxes, reporting, withholding, and compliance with all applicable laws relating to your activities and earnings.

Third-Party Platforms. If you connect third-party payment or distribution services (e.g., payment processors, digital distributors), you do so at your own risk and are bound by those third parties’ terms and policies.

Platform Discretion. We may remove, hide, or disable access to any content or listing at our discretion, including in response to complaints, suspected infringement, or policy violations.
8. Prohibited Conduct
You agree not to: (a) violate any law or regulation; (b) upload or share content that is unlawful, defamatory, obscene, infringing, deceptive, or harmful; (c) engage in unsolicited or unauthorized advertising, spam, or scraping; (d) attempt to hack, disrupt, or interfere with the Service or its security; (e) impersonate any person or entity or misrepresent your affiliation.
9. Our Intellectual Property
Except for User Content, the Service and all content, software, trademarks, and logos on the Service are owned by or licensed to us and protected by applicable laws. You may not reproduce, distribute, adapt, or create derivative works from any part of the Service without our prior written permission.

11. Third-Party Services and Links
The Service may link to or integrate with third-party websites, apps, or services. We do not control and are not responsible for third-party content or practices. Your use of third-party services is at your own risk and may be governed by their terms and privacy policies.
12. Fees, Billing & Refunds
Some features of the Service may be paid. If you purchase a subscription or a paid feature:

Billing. You authorize us (and our payment processors) to charge your chosen payment method.

Auto-Renewal. Subscriptions renew automatically unless you cancel before the renewal date.

Prices/Changes. We may change prices upon notice; changes take effect on the next billing cycle.

Refunds. Unless required by law, payments are non-refundable. Where applicable consumer laws grant withdrawal rights for digital content, you consent to immediate performance and acknowledge that withdrawal rights may be lost once access begins.
13. Termination
We may suspend or terminate your account and/or access to the Service at any time, with or without notice, including for any violation of these Terms or suspected unlawful activity. You may stop using the Service at any time; you can request account deletion via support.
14. Disclaimers
As-Is / As-Available. The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that content will be accurate or reliable.
No Professional Advice. We do not provide legal, tax, accounting, or other professional advice. You should consult qualified professionals for such advice.
15. Limitation of Liability
To the fullest extent permitted by law, melodyX and its owners, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the Service. Where liability cannot be excluded, it is limited to the greater of: (a) the amount you paid to us for the Service in the 12 months preceding the claim; or (b) £100.
16. Indemnification
You agree to indemnify, defend, and hold harmless melodyX, its owners, affiliates, and representatives from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of third-party rights.
17. Governing Law & Jurisdiction
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales shall have exclusive jurisdiction.
18. Consumer Information (EU/UK)
If you are a consumer residing in the EU or UK, you may have specific statutory rights that cannot be excluded. Nothing in these Terms limits such rights. For digital content/services supplied immediately upon purchase with your express consent, statutory withdrawal rights may not apply or may be lost upon delivery.
19. Severability; No Waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
20. Changes to the Service
We may modify, suspend, or discontinue all or part of the Service at any time without liability.
